This was the best course I’ve taken at USC Gould so far – I learned so much with Professor Wertlieb’s hands-on, practical teaching style. He kept us all engaged by creating a business with us and allowing us to see it through.
I have learned the most in this class than I have in any other class I’ve taken in law school. It has honestly been one of the most educational and best classes I’ve taken and I highly recommend it to every student at Gould. Professor Wertlieb explains concepts so clearly and he was very easy to follow. I felt like I got an amazing grasp on all of the concept. More than in any of my doctrinal classes!
The course was perfectly organized. I thought the professor did a great job at structuring the class in correlation to the life cycle of a business. I also really enjoyed that we got to pick our start-up company and go through all of the steps that a real practicing attorney would actually go through when aiding this type of client. I could not have enjoyed this class any more and I am extremely appreciative of Professor Wertlieb and everything I was able to learn. I can honestly say that it has been my favorite class in all of law school and I have recommended it to all of my fellow students. I wish I was able to give any constructive criticism of this class but I know me and all of my classmates truly had such a great time in this class and none of us have any complaints! Thanks for a great class!
This was an extremely helpful course on how to practically be a good lawyer. It was full of hands-on examples and class discussions that were very effective for learning.
Since the professor had great experiences, he could offer good examples to think.

Through classroom lectures, guest lectures, post-class assignments and classroom interactions, Professor Neil helped us to better master the necessary skills required of a transactional lawyer. After a semester of training, it was clear that I had a deeper understanding of the different stages of the business cycle and that my contract drafting and negotiation skills had improved significantly.
What Neil taught us in the past 14 weeks will be extremely helpful to my future law career.
Professor Neil is very conscientious and responsible. He arrives early to test the equipment before each class. He is the only professor I’ve seen this semester who doesn’t take breaks from class (students can go out to the bathroom on their own) and has never cancelled a single class.
Neil prepared every class carefully and diligently this semester, he never cancels a class.
Everything about this course was perfect – I can’t emphasize that enough. This was the best course that I’ve taken at Gould. It was refreshing to take a class that allowed us to apply every single lesson we learned to real life. It was engaging, practical, extremely relevant, and should be an example for other law school courses.
I enjoyed the hands-on approach to both the class content and the homework assignments. working with an “actual” business, hearing what investors & founders want, and working to achieve those goals accordingly was very helpful in my overall understanding about how companies start and operate.
In my opinion, the Professor did an amazing job of covering all the basic aspect from term sheet to closing a transaction. I enjoyed this course the most during my semester. The classes were very informative and curated the important foundation of every transaction.
Neil provided an effective overview of issues and practices that transactional attorneys will face in the start up space. He assigned very informative readings, and provided excellent examples and explanations of the material that he covered.
Professor Wertlieb’s knowledge, expertise, and attitude toward the material made the course most valuable. Further, the subject matter was practical and accessible to us.
The content of the class is the most valuable aspect of this course because the capital market was hard to understand. However, after this semester, I can understand part of this field and am not afraid of learning more about it. The way Neil taught inspired me and made the complex knowledge easier to absorb.
The course very effectively taught us about the practice of transactional law: drafting contracts, forming business deals, preventing disputes, and negotiating. The most valuable aspects were the practical skills and knowledge of learning how a real attorney would aid a business in incorporating, financing, and going public. I also appreciated how the course was structured in an easy to follow and logical manner.
This course made the best use of the limited class time to give us a comprehensive overview of the important transactional aspects of the full life cycle of business. The class left me with a great deal of interest and anticipation in business transactions, so that I hope to become excellent business lawyers in the future.
Take this class. Prioritize this class. Absorb every piece of information. Everything is relevant, practical, and boiled down to help students in transactional careers.
1000% would recommend this class to any student. It is one of the most practical classes for transactional lawyers or even just lawyers who want to learn about the life cycle of a business. I have learned and retained more information and skills from this class than any other class.
