I really enjoyed the structure of this course and the “role play” approach to the subject matter.
Great Professor. He breaks down difficult concepts in easy-to-understand language. Very effective teaching style. Takes time to answer student questions throughout lecture. Very articulate.

This was a very high quality course, loaded with practical information. I think you did a great job guiding the students in the right direction with problems, and correcting mistakes in a gentle way. Structuring the course as a practical business that goes through its entire life cycle was an engaging way to deal with the material we covered throughout the course.
Professor Wertlieb is really knowledgable on all of the topics in the course. He explains complex issues very clearly and you can tell he has a lot of experience. He is kind and keeps difficult topics interesting. I really enjoyed the course and Professor Wertlieb’s teaching style.
Professor Wertlieb has a great presence. The use of a hypothetical situation that carried throughout the course was helpful in conceptualizing the information. A very interactive course that used visuals, but not overly so.
TAKE THIS COURSE! This was the only time I signed up for a short session class and I’m so glad I did. Professor Neil is one of the best professors I’ve had at UCI Law. He brought so much energy to the class despite being on Zoom. He started the class off by “interviewing” (just a quick introduction) us as counsel for a start up company. I think this was really smart and helpful in understanding how the reading material and exercises applied to our hypothetical client. Professor Neil is very patient and explains the material extremely well. He keeps the class light and entertaining, it didn’t feel as draining as you might think a short session class would be.

Loved the course! Wish it were longer and a full semester course offered at UCI that included more numerical rigor!
The drafting assignments were very helpful, in particular hearing the input from my classmates who often suggested things I hadn’t even thought of. Having Neil expose the ambiguities and other issues was also a good lesson in how to draft effective and airtight contractual provisions while keeping in mind how opposing counsel would attempt to look for weak points in the language.
I liked the format of the course and I think for a 4-day crash course it is organized well and had a good pace. I think it would have been helpful to have a disclaimer in the course catalog about the specific prerequisite knowledge that was important, but without the prerequisite knowledge you still can follow along with the material. The daily drafting assignments were thought-provoking and did not feel overly burdensome. The readings were beneficial and not too long. I enjoyed the role playing exercises and thought they were beneficial.
The whole class was learning about considerations a company does from start to exit. Professor Neil used powerpoint slides, youtube clips, and drafting exercises to teach the material. We had super simple assignments for three days where we would draft a one-sentence clause in a contract and would review it the following day. The reading assignments were not overwhelming and were all relevant and useful to the course.
I am very happy that I decided to take this course because it provided us students with a great opportunity to study a subject that is fundamental to a transactional legal career, but not covered in most law school curriculum.
This one-week course covers a lot of ground in a very short timespan. As someone who had already taken a lot of the corporate law courses offered at UCI, this course was a great one-week refresher that tied everything together. I very much enjoyed this short session course and hope it continues to be offered in the future.
I have been quite disappointed with the lack of corporate, securities, and business law related course offerings at UCI and this was a welcome change! Will 100% recommend the course to other students! Absolutely fantastic for those interested incorporate, transactional, M&A, and in-house general counsel or head of legal roles to at least develop some familiarity with practical business law operations before heading into law firm or in-house attorney roles. UCI Law students would definitely benefit from more transactional law related course offerings.
Great and engaging Professor. Highly knowledgeable and respectful of students. Interesting material. Would recommend to students interested in exploring transactional law, but should also come in prepared to work a little harder during what could have been another week of winter break.
I thought it was a great course, and I would definitely recommend it. I was worried about taking a short session class due to the accelerated pace (plus just wanting an extra week of break) but this course was absolutely worth it. I knew on the first day that I made the right choice by signing up for it. Neil, you were great, exceptionally informative, and very kind.
As someone without any corporate experience, this course was a great way to dip my toe in and gain exposure to the various steps in a business cycle. I think it is likely perfect for the student who has worked in a corporate summer position and has some general awareness on the topics. It was a fun short session course and I think it would make a great full semester course!
I learned so much in only four days! It’s really hard to find courses that are not focused on litigation skills. This class is amazing for anybody interested in transactional or corporate work. This class is so important and helped me confirm that I want to pursue transactional work in the future.
